Bosch Group has received approval from the Competition Commission of India (CCI) to take full control of Johnson Controls International’s (JCI) residential and light commercial heating, ventilation, and air-conditioning (HVAC) business. The deal, worth $8 billion, also includes Bosch acquiring Hitachi’s 40% stake in the Johnson Controls-Hitachi Air Conditioning Holding (UK) Limited (JCH) joint venture.
The acquisition, processed under the Green Channel route, allows Bosch to strengthen its presence in the global HVAC market. The German technology giant will integrate JCI’s HVAC operations into its Energy and Building Technology division, expanding its offerings in heating, cooling, and home comfort solutions. However, Bosch’s Home Comfort division is not yet active in India’s heating and cooling market.
JCI, headquartered in Ireland, manufactures products across various sectors, including HVAC systems, industrial refrigeration, and security solutions. The JCH venture, founded in 2015 with Hitachi Ltd., is based in Tokyo and focuses on air conditioning and cooling technologies. Bosch’s acquisition is seen as a strategic move to enhance its technological capabilities in the HVAC industry.
With CCI’s approval, the deal can proceed without further regulatory reviews. The commission concluded that the transaction would not harm competition in India, ensuring a smooth approval process. This acquisition underscores Bosch’s commitment to strengthening its position in the global HVAC sector while complying with competition regulations.
Bosch operates in India through twelve companies, with Bosch Limited being its flagship entity. Other subsidiaries include Bosch Chassis Systems India, Bosch Rexroth (India), Bosch Global Software Technologies, and BSH Home Appliances, among others.
